1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Client", "User", "you") and ByteStream ("ByteStream", "we", "us", "our"). By accessing our website (https://bytestream.co.in), submitting consultation inquiries, or executing a Statement of Work (SOW) or Master Services Agreement (MSA) with us, you agree to be bound by these Terms.
2. Scope of Services
ByteStream provides software engineering, digital transformation, cloud architecture, system integration, mobile application engineering, and technology consulting services. Specific deliverables, milestone schedules, technical specifications, and fee schedules are formalized in mutually executed Statements of Work (SOW) or project contracts that reference and incorporate these Terms.
3. Intellectual Property Rights
Our intellectual property framework is structured around transparency, fairness, and strict client protection:
- Custom Deliverables: Upon full and final settlement of agreed contractual invoices for custom software engagements, all custom application source code, bespoke designs, and project documentation created specifically for the client transfer to the client as specified in the SOW.
- Pre-Existing Frameworks & Tooling: ByteStream retains ownership of its proprietary pre-existing libraries, foundational frameworks, utilities, boilerplate scaffolds, and general software development methodologies used to build client deliverables. Clients receive a perpetual, royalty-free license to use and modify such tooling as incorporated into their deliverables.
- ByteStream Owned Products: Proprietary software products developed independently by ByteStream (such as InstituteMate) are owned exclusively by ByteStream and provided under dedicated SaaS licensing terms.
4. Confidentiality & Mutual NDA
Both parties agree to treat all business, technical, financial, and strategic information disclosed during project discovery or delivery as strictly confidential. Neither party shall disclose confidential information to any third party without prior written consent, except to employees, contractors, or legal/financial advisors bound by equivalent confidentiality obligations.
5. Warranties & Limitation of Liability
ByteStream warrants that all engineering services will be performed in a professional, workmanlike manner adhering to modern software industry standards and security best practices.
Except as expressly provided in an executed SOW, software and websites are provided on an "as-is" and "as-available" basis. To the maximum extent permitted by applicable law, ByteStream shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits or revenue arising out of or related to these Terms or software operation.
6. Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of India. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts located in Kolkata, West Bengal, India.
